Terms of Service
Welcome to Jenny AI (“Jenny AI,” “Service”), a voice-powered AI receptionist and automation service provided by Jenny AI (“Company,” “We,” “Us,” or “Our”). By subscribing to or using Jenny AI under any of its plans - Jenny AI Solopreneur, Jenny AI Small Business, or Jenny AI Business Growth - you agree to be bound by these Terms of Service (“ToS” or “Agreement”). If you do not agree with these terms, please do not use the Service.
Jenny AI is a voice-powered AI receptionist and automation service designed to streamline communications and drive growth for solo service providers, small businesses, and teams. The core features include:
24/7 Call Answering and Messaging: Answers inbound calls, web inquiries, forms, and social messages instantly with a professional, customizable voice, qualifying leads and transferring calls as needed.
FAQ Handling: Responds to frequently asked questions based on your provided knowledge base.
Appointment Scheduling and Reminders: Syncs with your calendar (e.g., Google, Outlook, Calendly) to book appointments in real-time, sending confirmations, SMS/email reminders, and follow-ups to reduce no-shows.
AI Web Widget and Voice Orb: Provides a chat widget or floating voice orb for your website, offering 24/7 customer support, answering FAQs, collecting contact information, and booking appointments.
Live Call Transfer: Transfers calls to your team based on your specified rules and preferences.
Social Media DM & Comment Automation: Monitors and responds to direct messages (DMs) and comments across social media platforms, turning interactions into conversations and qualifying leads.
Email + SMS Nurture & Nudge Campaigns: Sends automated email and SMS drip campaigns to nurture leads, answer questions, and drive conversions based on your provided campaign goals and content.
Outbound Calling & Lead Reactivation: Conducts outbound calling campaigns to reactivate cold leads and maintain a warm pipeline, using clean lead lists you provide.
CRM and Advanced Integrations: Integrates with over 100 platforms (e.g., CRMs, Zapier, Make, Buildship) to log conversations, update contacts, and trigger automated workflows.
Ongoing Maintenance: Includes updates, optimizations, and technical support to keep Jenny AI aligned with your brand and operational needs.
The Service is designed to enhance business efficiency and growth but is not a substitute for human oversight or emergency response systems.
To use Jenny AI under any plan, you must:
Be at least 18 years old or have the legal authority to enter into this Agreement.
Operate a legitimate business or professional service.
Provide accurate and complete information during onboarding, tailored to your chosen plan (e.g., sales process, call flow, FAQs, knowledge base, social media accounts, lead lists, campaign content, and access to tools like calendars, CRMs, APIs, or social media platforms).
Maintain an active Twilio account for call and SMS functionality (required for all plans; see Section 5).
3.1 Pricing Structure
A fee of $0.19 per minute (billed by the second) applies for call handling (inbound and outbound) as detailed in your subscription plan.
Non-Refundable Voice Minutes : Any voice minutes purchased but not used at time of cancellation are not refundable under any condition.
3.2 Payment Terms
Payments are processed via Stripe.
You authorize Us to charge your provided payment method for the applicable setup fee, monthly fees, per-minute usage (where applicable), and any additional development fees.
If payment fails, We may suspend your access to the Service until payment is received. Late payments will incur a fee of 5% of the overdue amount.
Usage details for per-minute charges will be provided in your account dashboard.
The Client agrees not to dispute these charges with their financial institution.
3.3 Additional Development Fees
Advanced integrations, custom workflows, or complex campaign configurations (e.g., bespoke email/SMS sequences or social media automations for Small Business Growth) may incur additional development fees, which will be communicated and agreed upon in writing before work begins.
3.4 Price Changes
We reserve the right to modify pricing for any plan with 30 days’ notice via email or through your account dashboard.
Price changes will not affect the current billing cycle or the initial 30, 60 or 90-day period included in the setup fee.
To ensure optimal performance of Jenny AI, you agree to:
Provide accurate and up-to-date information during onboarding, including:
- Sales process, call flow, and any specific scripts or prompts for Jenny AI to follow.
- A knowledge base with FAQs, common objections, and key business information.
- Access credentials or API information for your calendar, CRM, or other platforms.
Maintain an active Twilio account and cover all associated Twilio fees (e.g., phone numbers, usage charges) billed directly by Twilio.
Review and update your call flow, knowledge base, and integration settings as needed to ensure accurate performance.
Comply with all applicable laws, including telecommunications regulations, data privacy laws (e.g., GDPR, CCPA), and call recording consent requirements.
Maintain the security of your account credentials and notify Us immediately of any unauthorized access.
Twilio Requirement: A Twilio account is required for Jenny AI to handle inbound/outbound calls and SMS messaging. We will assist with account setup and A2P (Application-to-Person) registration to ensure compliance with telecommunications regulations.
Twilio Costs: You are responsible for all Twilio-related fees, including phone number purchases and usage charges, billed directly by Twilio.
Phone Numbers: All phone numbers used by Jenny AI must be purchased through your Twilio account.
Compliance: You are responsible for ensuring your use of Twilio complies with applicable laws and Twilio’s policies. Including obtaining consent for outbound calls and SMS messages.
Functionality: Jenny AI sends automated email and SMS drip campaigns to nurture leads, answer questions, and drive conversions based on your provided campaign goals and content.
Content Responsibility: You must provide compliant content for campaigns (e.g., email templates, SMS messages) and ensure compliance with anti-spam laws (e.g., CAN-SPAM, CASL) and telecommunications regulations.Consent: You are responsible for obtaining and maintaining valid
consent from recipients for email and SMS communications.
Functionality: Jenny AI conducts outbound calling campaigns to reactivate cold leads and maintain a warm pipeline, using clean lead lists you provide.
Lead Lists: You must provide accurate, up-to-date, and legally compliant lead lists, including verified contact information and evidence of consent for outreach (e.g., opt-in records).
Compliance: You are responsible for ensuring outbound calls comply with telecommunications laws (e.g., TCPA, Do Not Call regulations) and maintaining records of consent.
Supported Platforms: Jenny AI integrates with over 100 platforms (e.g., CRMs, Zapier, Make, Buildship, social media platforms) to log conversations, update contacts, and automate workflows.
Access Requirements: You must provide necessary access credentials or API information for integrations. We are not responsible for errors, downtime, or changes in third-party platforms.
Custom Integrations: Additional development fees may apply for non-standard or complex integrations, subject to prior written agreement.
Third-Party Fees: You are responsible for any fees charged by third-party platforms (e.g., CRM subscriptions, Zapier plans, social media advertising costs).
No Emergency Services: Jenny AI is not designed to handle emergency calls (e.g., 911). You must maintain separate systems for emergency communications.
Accuracy of Information: The Service relies on the accuracy of the information you provide (e.g., FAQs, scripts, lead lists, campaign content, calendar availability). We are not responsible for errors resulting from outdated or incorrect information.
AI Limitations: While Jenny AI is designed to provide professional and accurate responses, it may not handle complex or nuanced inquiries as effectively as a human. You are responsible for monitoring and addressing any issues with call handling, social media interactions (Small Business and Small Business Growth), or campaign performance (Small Business Growth).
Third-Party Dependencies: The Service depends on third-party platforms (e.g., Twilio, CRMs, social media platforms). We are not responsible for downtime, errors, or changes in third-party services.
Our Intellectual Property: The Service, including its AI technology, software, web widget, voice orb, and branding, is owned by or licensed to the Company. You may not copy, modify, reverse-engineer, or distribute any part of the Service without Our prior written consent.
Your Content: You retain ownership of the content you provide (e.g., FAQs, scripts, lead lists, campaign content, social media posts). By providing this content, you grant Us a non-exclusive, worldwide, royalty-free license to use, store, and process it solely to deliver the Service.
Data Collection: We collect and process personal data (e.g., your contact details, call logs, knowledge base, lead lists, campaign data, and integration data) to provide the Service. Our Privacy Policy [insert link or reference] governs how we handle your data.
Call Recordings: Calls may be recorded for quality assurance and training purposes. You are responsible for complying with applicable laws regarding call recording (e.g., obtaining consent if required).
Customer Data: Jenny AI may process personal data of your customers (e.g., names, phone numbers, email addresses, social media interactions). You are responsible for ensuring compliance with data protection laws (e.g., GDPR, CCPA) and obtaining necessary consents for data processing, calls, SMS, and email communications.
Data Security: We implement reasonable security measures to protect your data but cannot guarantee absolute security. You are responsible for maintaining the security of your devices, accounts, social media platforms (Small Business and Small Business Growth), and integration credentials.
12.1 By You
You may terminate your subscription for any plan with 30 days’ written notice to [email protected]. No refunds will be issued for setup fee, partial months, or unused minute usage.
12.2 By Us
We may suspend or terminate your access to the Service immediately if you:
- Fail to make payments when due.
- Violate these ToS, Twilio’s policies, social media platform policies (Small Business and Small Business Growth), or applicable laws (e.g., TCPA, CAN- SPAM, GDPR).
- Misuse the Service in a way that harms Us, other users, or third parties (e.g., sending spam, using non-compliant lead lists).
Upon termination, you will lose access to the Service, and We may delete your data after 30 days, unless required by law to retain it.
No Warranties: The Service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted operation.
Liability Cap: Our total liability for any claim arising from the Service will not exceed the amount you paid Us in the 12 months preceding the claim.
No Consequential Damages: We are not liable for indirect, incidental, or consequential damages, including lost profits, lost opportunities, or business interruptions.
You agree to indemnify and hold the Company, its affiliates, and employees harmless from any claims, losses, or damages arising from:
Your use of the Service, Twilio, or third-party platforms (e.g., social media, CRMs).
Your violation of these ToS, Twilio’s policies, social media platform policies (Small Business and Small Business Growth), or applicable laws (e.g., TCPA, CAN-SPAM, GDPR).
The content you provide (e.g., FAQs, scripts, lead lists, campaign content) or customer data processed by Jenny AI.
Your failure to obtain necessary consents (e.g., for call recording, outbound calls, SMS, email, or data processing).
Governing Law: This Agreement is governed by the laws of Washington,US, without regard to conflict of law principles.
Dispute Resolution: Any disputes arising from this Agreement will be resolved through binding arbitration in Bellevue, Washington, conducted by American Arbitration Association. You waive the right to participate in a class action lawsuit.
We may update these ToS at any time. We will notify you of material changes via email or through your account dashboard at least 30 days before they take effect. Continued use of the Service after changes constitutes your acceptance of the updated terms.
Entire Agreement: These ToS, along with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
Severability: If any provision of these ToS is found unenforceable, the remaining provisions will remain in effect.
No Waiver: Our failure to enforce any provision does not waive Our right to enforce it later.
Assignment: You may not assign this Agreement without Our written consent. We may assign this Agreement to an affiliate or successor in connection with a merger or sale.
Force Majeure: We are not liable for delays or failures in performance due to events beyond Our reasonable control (e.g., natural disasters, internet outages, social media platform changes).
The Client assumes full responsibility for ensuring all marketing, outreach, and communication efforts using the Company’s AI tools comply with the Telephone Consumer Protection Act (TCPA) and all related state and federal regulations.
The Client agrees to indemnify, defend, and hold harmless the Company, its officers, employees, and affiliates from any claims, lawsuits, fines, penalties, or damages arising from violations of TCPA or any other applicable telemarketing laws caused by the Client’s use of the Services.
